Conditions related to the position

On 18 July 2024 Shell and Exxon reached an agreement to sell the NAM Offshore BV assets to Tenaz Energy Corp. This includes the area and the team where the role you have applied for resides.

The deal is still subject to regulatory approval and we expect the completion within 6-9 months (latest end July 2025). Up to the completion date, NAM will remain as the operator. We would still like you to participate in the recruitment process for the position COP Subsea Engineer. This remains to be key position in the NAM/NAM Offshore BV asset. However, we want to make you aware of this news and to confirm that position would be ‘in-scope’ to transfer to Tenaz upon completion.

If you continue with your application and are successful, what this means is:

  • You would initially be offered NAM NOBV employment contract on NAM NOBV terms and conditions
  • Once employed in NAM NOBV, you would be part of the ring-fenced group defined as ‘in-scope’ to transfer to Tenaz. Ringfenced means that you would not be eligible to apply for other internal roles in NAM and/or wider Shell
  • It is our intention that the Dutch Transfer of Undertakings (Wet Overgang Onderneming) Regulations 2006 will apply to the sale of NAM Offshore BV
  • WOO protects employees when a business changes ownership and provides protection in relation to the terms and conditions of employment
  • Should the deal complete successfully, you would TUPE transfer to Tenaz Energy.
  • Over the coming week our HR team are working with Tenaz Energy HR to get clarity on their terms and conditions and how they will fulfil the commitment as part of the deal to offer a total compensation and benefits package that is no less favourable in the aggregate to transferring employees
  • We have elected employee engagement forum representatives who we will consult with as part of the formal consultation process and you would be represented by this group
  • More information will be shared during the recruitment process
