
Senior Assistant Company Secretary
What’s the role
As the Senior Assistant Company Secretary, you should have strong PLC experience, extensive knowledge of company secretarial functions within a listed environment, and a solid understanding of best practices in all legal and regulatory requirements necessary for the effective delivery of the role.
What you’ll be doing
As a Senior Assistant Company Secretary, you will report to the Deputy Company Secretary. You will be supporting the delivery of a high-quality service within the corporate secretariat function, covering plc support, entity management, corporate governance, compliance processes, board activities and shareholder services.
More specific responsibilities include:
Assist the Deputy Company Secretary with the provision of day-to-day Corporate Matters related to Shell plc.
Support on the provision of company secretarial services, including statutory compliance activities, shareholder and board actions; advice on governance and company secretarial issues; participation in corporate projects and transactions; responsibilities for company secretarial processes, procedures, databases and know-how.
Provide insight and advice on the governance controls and processes attributed to subsidiary entities across the global footprint.
Responsible for elements of the Governance section of the Shell Annual report and Form 20F and associated shareholder documentation.
Ad-hoc support on other Shell entities within the Shell group of companies as needed.
Ensure compliance with changing statutory, regulatory and corporate governance landscape.
Manage the relationship with the registrar and ensure that shareholders receive a quality service.
What you bring
Having significant years of CGI qualification (or equivalent) is a must.
In addition to the above, we would hope you possess the following attributes:
Self-motivated and have excellent communication and organisation skills with strong attention to detail, execution and reliability.
Maturity and gravitas to deal with a senior stakeholder group.
A conceptual thinker with problem solving and analytical capability and learning agility.
Proactive, well organised with the ability to work under pressure and adaptable to different cultures.
Skilled in using GEMS, Diligent, Microsoft Package, Docusign or similar systems.
Given the nature of the work for this role, we would be needing someone with rights to work in the UK. You will need to be able to work in the London office.
