What’s the role

Shell is looking for a qualified (Chartered Governance Institute or equivalent) Senior Company Secretariat Assistant to join the team in London.

What you’ll be doing

As a Senior Company Secretariat Assistant, you will report to the Deputy Company Secretary. You will be supporting the delivery of a high-quality service within the corporate secretariat function, covering entity management, corporate governance, compliance processes, board activities, shareholder services and working to understand the corporate reporting and governance standards of a UK listed entity.

More specific responsibilities include:

  • Support on the provision of company secretarial services, including statutory compliance activities, shareholder and board actions; advice on governance and company secretarial issues; participation in corporate projects and transactions; responsibilities for company secretarial processes, procedures, databases and know-how

  • Assist with GEMS updates and Data Protection registrations

  • Keep up to date on latest statutory and regulatory requirements

  • Support ad hoc team and corporate governance projects

You will assist with corporate reporting and governance standards required of a UK listed entity, covering areas such as:

  • Assist with the administrative management of a Committee

  • Maintain the daily buybacks records including Companies House and HMRC filing

  • Assist with the Annual Report drafting process for the Governance sections

  • Regulatory disclosure – supporting the team with ongoing disclosure process in connection with listed markets and requirements (including 6K announcements, AGM notifications and FCA filings)

  • Ensure GEMS database is up to date for all aspects of Shell plc

What you bring

We are keen to speak to individuals with experience in management of subsidiary companies and knowledge of company secretarial functions within the listed environment.

Newly or recently CGI qualified (or equivalent) is a must.

In addition to the above, we would hope you possess the following attributes:

  • Self-motivated and have excellent communication and organisation skills with strong attention to detail, execution and reliability.

  • Maturity to deal with a senior stakeholder group.

  • A conceptual thinker with problem solving and analytical capability and learning agility. 

  • Proactive, well organised with the ability to work under pressure and adaptable to different cultures.

  • Skilled in using GEMS, Diligent, Microsoft Package, Docusign or similar systems.

Given the nature of the work for this role, we would be needing someone with rights to work in the UK. You will need to be able to work in the London office.
